Qualifying Referrals:

A qualifying referral will meet the following criteria:

• The introduction is to an organization that Capris does not already have a referral introduction, existing contact or business relationship

• Referrals must be made through the online form accepting the terms and conditions

• The referral information is reliable and you will assist Capris close the business to the best of your ability

• The opportunity is not subject to any conflict of interest ,breach of confidentiality or non-solicitation on any party involved

• The introduction leads to a closed and paid sale with a minimum term of 12 months

Terms and Conditions:

• Each party understands that this is a non-exclusive program. The referral partner acknowledges that Capris will market and sell its services directly or indirectly to any leads.

• No agency, partnership, joint venture or employment is created as a result of this Agreement and neither party has authority of any kind to bind the other party in any respect whatsoever.

• The terms and conditions of the Referral program may be modified by Capris, at its sole discretion, at any time by modifying this web page. Participants should refer here to understand the current terms and conditions.

• Capris reserves the right, at its sole discretion, to refuse participation in the Referral program based on lack of observing terms and conditions of the program. Capris further reserve the right to refuse participation for conduct demonstrating a disregard for Capris, program participants or prospective customers.

• The participant represents and warrants that they are eligible to participate in the program with no conflict of interest. Specifically (a) that you have disclosed your participation to your employer, if you have an obligation to do so ; (b) that you have obtained all necessary approvals from your employer with respect to participating in the Referral Program and any compensation that may result; or (c) that you are under no obligation to disclose participation to any other party.

Payment Terms:

• A Referral fee is applicable only to the initially contracted services. For clarity, after the initial referral payment, any subsequent services the customer requests will not lead to an additional referral fee.

• If the applicable introduction leads to a concluded and paid sale, you will earn 5% of the pre-tax price for the first 12 month term. There is a maximum payment of $5,000 no payments on calculated referral fees of less than $100. For larger opportunities, please contact Capris

• Referral fees will be paid by cheque in Canadian dollars, paid thirty (30) days after the initial payment on the applicable invoice has been by the customer. All payments will be sent by regular mail to the mailing address provided on the Referral Form. Capris will not be responsible for lost or delayed mail based on the mailing address provided.

• In no event will Capris be liable for direct, indirect special, incidental or consequential damages whatsoever or for any loss of revenue, profits, business information and the like, whether foreseeable or unforeseeable, regardless of the basis of the claim. Capris cumulative liability for damages for any cause whatsoever, regardless of the form of action, will be limited any applicable Referral fees.
